1. Acceptance of Terms
By accessing or using CooVex ("the Service"), operated by CooVex Inc. ("we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service.
2. Description of Service
CooVex provides an AI-powered business intelligence platform including lead scoring, competitor monitoring, automated reporting, and AI coaching tools. Features may change over time without notice.
3. Account Registration
You must provide accurate, complete, and current information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must be at least 18 years old to create an account.
4. Subscription and Payment
Paid plans are billed monthly or annually. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Your subscription will auto-renew unless cancelled before the renewal date.
5. Acceptable Use
You agree not to: (a) use the Service for unlawful purposes; (b) reverse engineer or copy the platform; (c) abuse or overload our infrastructure; (d) use the Service to scrape, spam, or harm third parties; (e) resell or redistribute the Service without written permission.
6. Data Ownership
You retain ownership of all data you input into CooVex. We process your data only as described in our Privacy Policy and Data Processing Agreement. We never sell your data to third parties.
7. Intellectual Property
CooVex, its logo, and all platform features are the property of CooVex Inc. You may not use our trademarks, brand assets, or technology without prior written consent.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COOVEX SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify and hold harmless CooVex Inc. from any claims, losses, or damages arising from your use of the Service or violation of these Terms.
10. Termination
We may suspend or terminate your access at any time for violation of these Terms. You may cancel your subscription anytime. Upon termination, your data will be deleted after a 30-day grace period.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, USA. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
12. Changes to Terms
We may update these Terms at any time. Material changes will be communicated via email or in-app notice 30 days in advance. Continued use after the effective date constitutes acceptance.
